Software Licence Agreement

TECHBUDDY v1.0 - END USER LICENCE AGREEMENT

This End User Licence Agreement ("Agreement") is between you ("Licensee") and URO Pvt Ltd ("Licensor") for the use of TechBuddy v1.0 software ("Software").

1. Grant of Licence

Subject to payment of the licence fee and compliance with this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, perpetual licence to install and use the Software on one USB drive for professional PC health diagnostics on customer machines.

2. Permitted Use

Licensee may: (a) use the Software on any number of customer machines in the course of professional repair or IT support work; (b) generate and retain output reports produced by the Software; (c) make one backup copy of the Software for personal archival purposes.

3. Restrictions

Licensee may not: (a) copy, distribute, sell, or sublicense the Software to any third party; (b) reverse engineer, decompile, or disassemble the Software; (c) modify the Software or create derivative works; (d) remove or alter any copyright, trademark, or proprietary notices; (e) use the Software in any automated or unattended scanning service without a separate written commercial agreement with Licensor.

4. Intellectual Property

The Software, including all code, design, reports, and documentation, is the exclusive property of URO Pvt Ltd and is protected by copyright law. This Agreement does not transfer ownership of the Software.

5. Privacy and Data

The Software reads system information from scanned machines solely to produce health reports. It does not collect, transmit, or store personal data from scanned machines. See the Privacy Policy at the website for full details.

6. No Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, THAT SCAN RESULTS WILL BE COMPLETE OR ACCURATE, OR THAT THE SOFTWARE WILL MEET ANY PARTICULAR REQUIREMENTS. ALL IMPLIED WARRANTIES ARE DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.

7. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO DATA LOSS OR HARDWARE DAMAGE. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE LICENCE FEE PAID BY LICENSEE.

8. Termination

This licence terminates automatically if Licensee breaches any term of this Agreement. Upon termination, Licensee must destroy all copies of the Software in their possession.

9. Governing Law

This Agreement is governed by the laws of Sri Lanka. Any dispute shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.

10. Entire Agreement

This Agreement, together with the Terms of Sale and Privacy Policy published at the TechBuddy website, constitutes the entire agreement between the parties regarding the Software and supersedes all prior agreements or representations.
